MYPRENEUR PROGRAMME TERMS AND CONDITIONS

LAW OF JURISDICTION
All disputes and legal matters arising out of any transaction or usage of this website, including payments processed through our integrated payment gateway, shall be subject to the exclusive jurisdiction of the courts in Chennai, TamilNadu, India. By using our services and proceeding with any payment, the user agrees to comply withthe applicable laws of India and acknowledges Chennai, TamilNadu, India as the designated legal jurisdiction 1. ACCEPTANCE OF TERMS
A. These Programme Terms and Conditions (“Terms”) govern the enrolment, participation in, access to, and use of any mentorship, consultancy, coaching, advisory, training, implementation support, business development, operational support, branding, franchise, expansion, cloud kitchen, QSR, hospitality business, or other programme, service, product, workshop, event, consultation, support service, digital content or offering made available by Magizh Solutions, a sole proprietorship firm, operating under the brand name “Mypreneur” (hereinafter referred to as the “Mypreneur”) (each a “Programme”). B. These Terms shall apply to all individuals, proprietorships, partnerships, limited liability partnerships, companies, organisations and other entities enrolling in, purchasing, accessing, or availing any Programme offered by Mypreneur (“Participant”). C. By enrolling in a Programme, making payment, accessing any Programme material, attending any session, accessing the LMS, or otherwise availing any Services, the Participant acknowledges that it has read, understood, and agreed to be bound by these Terms. D. These Terms shall constitute a valid and binding agreement between Mypreneur and the Participant. 2. DEFINITIONS For the purposes of these Terms: A. “Confidential Information” shall mean any information disclosed by Mypreneur, whether oral, written, visual, electronic, or otherwise, including but not limited to business methodologies, systems, processes, frameworks, strategies, templates, SOPs, training materials, programme content, commercial information, vendor information, know-how, trade secrets, and proprietary information. B. “Intellectual Property Rights” or “IPR” shall include all rights relating to copyrights, trademarks, patents, trade secrets, know-how, database rights, proprietary rights, and all other intellectual property rights recognised under applicable laws. C. “LMS” shall mean the learning management system or any digital platform through which Mypreneur provides access to Programme content, materials, recordings or resources. D. “Programme Deliverables” shall mean the services, support, content, sessions, resources and benefits included within the Programme enrolled for by the Participant. E. “Services” shall mean the mentorship, consultancy, coaching, advisory, implementation support, training and other services provided by Mypreneur under the Programme. 3. ENROLMENT AND PARTICIPATION A. Participation in any Programme shall be subject to acceptance by Mypreneur. Mypreneur reserves the right to accept, reject, suspend, or discontinue any enrolment at its sole discretion. B. The Participant represents and warrants that all information provided during enrolment is true, complete, and accurate, and that the Participant possesses the legal capacity and authority to enter into and perform its obligations under these Terms. C. Where the enrolment is made on behalf of an organisation, the individual completing the enrolment represents and warrants that he/she is duly authorised to bind such organisation. D. The Participant shall promptly notify Mypreneur of any material change in the information provided during enrolment. 4. SCOPE OF SERVICES A. Mypreneur shall provide the Services and Programme Deliverables applicable to the Programme enrolled for by the Participant. B. Depending upon the Programme selected, the Services may include mentorship, coaching, advisory support, implementation guidance, account management support, operational support, business planning assistance, branding support, expansion guidance, location shortlisting assistance, procurement support, training modules, LMS access, workshops, webinars, mastermind sessions, and such other services as may be communicated by Mypreneur from time to time. C. The Participant acknowledges and agrees that the Services are advisory, educational and consultative in nature. All recommendations, opinions, strategies, guidance, and suggestions provided by Mypreneur are intended solely for informational purposes and shall not constitute legal, financial, tax, investment, or regulatory advice, nor shall they be construed as a guarantee of any particular result, outcome, or business performance. D. Mypreneur may engage employees, consultants, trainers, mentors, contractors, affiliates or third-party service providers for the purpose of delivering the Services. E. Mypreneur reserves the right to modify, update, replace, discontinue, or restructure any Programme Deliverables, modules, sessions, resources, support structures, trainers, mentors, account managers, or operational processes, provided that the overall nature of the Programme is not materially altered. 5. PROGRAMME DELIVERABLES A. The Programme Deliverables shall vary depending upon the Programme selected by the Participant and shall be communicated by Mypreneur through programme brochures, deliverable schedules, proposals, enrolment forms, invoices, LMS access details or other written communication. B. Any marketing material, presentation, brochure, webinar, demonstration or promotional content is intended solely for illustrative purposes and shall not constitute a contractual commitment unless expressly confirmed by Mypreneur in writing. C. Any timelines communicated by Mypreneur are indicative in nature and may be revised based on operational, technical, commercial, or logistical requirements. 6. PARTICIPANT OBLIGATIONS A. The Participant shall actively participate in the Programme and provide all information, documents, approvals, and assistance reasonably required for the provision of the Services. B. The Participant shall remain solely responsible for all business, financial, commercial, operational, and strategic decisions undertaken by it and shall independently evaluate any recommendation, guidance, or suggestion provided by Mypreneur before implementation. C. The Participant shall be responsible for obtaining and maintaining all licences, registrations, permits, approvals, and compliances required for its business activities. D. The Participant acknowledges that successful implementation of any strategy or recommendation depends upon several factors beyond the control of Mypreneur, including market conditions, competition, availability of capital, operational execution, customer behaviour and regulatory requirements. 7. FEES AND PAYMENT A. The Participant shall pay the applicable Programme Fees in the manner prescribed by Mypreneur. B. Unless otherwise expressly agreed in writing, all fees shall be payable in advance and shall be non-refundable, non-adjustable, and non-transferable, subject only to Clause 8 of these Terms and as per applicable law. C. If the Parties have agreed in writing to any different payment schedule for the Programme Fees, the Participant shall make all payments strictly in accordance with such agreed schedule. Such payment arrangement shall form part of these Terms, and any failure to make payment in accordance with the agreed schedule shall constitute a payment default under these Terms. D. The Participant shall remain liable for payment of all Programme Fees, charges, taxes, and any other amounts payable in connection with the Programme, including any amounts payable pursuant to an agreed payment schedule. E. Mypreneur reserves the right to suspend or revoke access to the Programme, LMS, sessions, support services, and Programme Deliverables in the event of any failure or delay in payment of any amount due under these Terms or any agreed payment schedule. F. The Participant shall not withhold, deduct, offset, or dispute any payment due under these Terms or any agreed payment schedule except in accordance with applicable law. 8. REFUND, CANCELLATION, AND DEFERRAL A. The Participant acknowledges that enrolment in a Programme results in allocation of resources, reservation of programme capacity, and provision of proprietary content and support services. B. All requests relating to cancellation, refund, or any other payment-related relief shall be governed exclusively by these Terms and applicable law. Any such request shall be subject to Mypreneur's internal review and approval process, and no cancellation or refund shall be deemed accepted or processed immediately upon submission of a request. C. Except as expressly provided under these Terms or as required by applicable law, no refund shall be granted in the event of withdrawal from the Programme, non-utilisation of the Programme or Services, failure to attend sessions, business closure, inability to secure funding, dissatisfaction with progress or outcomes, change in personal or professional circumstances, or any other reason attributable to the Participant. D. Upon a written request made by the Participant, Mypreneur may, at its sole discretion, permit a one-time pause of the Participant's Programme for such duration and on such terms and conditions as may be mutually agreed between the Parties. The decision to grant or reject any such request shall rest solely with Mypreneur. E. Any chargeback, payment reversal, or unauthorised payment dispute initiated by the Participant shall constitute a material breach of these Terms and shall entitle Mypreneur to suspend or terminate access to the Programme and pursue all rights and remedies available under these Terms and applicable law. 9. CONFIDENTIALITY A. The Participant acknowledges that, during the course of the Programme, it may receive or have access to Confidential Information belonging to Mypreneur. The Participant shall keep all Confidential Information strictly confidential and shall not, directly or indirectly, disclose, publish, reproduce, distribute, exploit, or make available any Confidential Information to any third party without the prior written consent of Mypreneur. B. The Participant shall use the Confidential Information solely for the purpose of participating in the Programme and shall not use such information for any commercial purpose, competitive purpose, or any purpose other than that expressly permitted under these Terms. C. The obligations contained in this Clause shall survive the completion, expiry or termination of the Participant's enrolment in the Programme. 10. INTELLECTUAL PROPERTY RIGHTS A. All Intellectual Property Rights in the Programme, Services, Content, LMS, training materials, recordings, presentations, templates, SOPs, frameworks, methodologies, systems, processes, documents, strategies, business models, tools, and all other materials provided by Mypreneur shall remain the sole and exclusive property of Mypreneur and/or its licensors. B. Nothing contained in these Terms shall be construed as transferring, assigning or granting any ownership rights in favour of the Participant. C. Subject to compliance with these Terms, Mypreneur grants the Participant a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Content solely for its internal personal or business purposes in connection with the Programme. D. The Participant shall not copy, reproduce, modify, adapt, translate, distribute, publish, display, transmit, sell, license, commercialise, create derivative works from, reverse engineer or otherwise exploit any Content or Intellectual Property Rights belonging to Mypreneur. E. Any unauthorised use of the Intellectual Property Rights of Mypreneur shall constitute a material breach of these Terms and may result in immediate suspension or termination of access to the Programme without refund, in addition to any other legal remedies available to Mypreneur. 11. RESTRICTIONS AND PROHIBITED CONDUCT A. The Participant shall not: i. Share, distribute or disclose any Programme materials, Content, recordings, templates, sops, frameworks or proprietary information with any third party. ii. Permit any third party to access the Programme, LMS or Services through the Participant's account or credentials. iii. Record, reproduce, photograph, screenshot, download, store or disseminate any session, workshop, webinar or Programme Content except with the prior written consent of Mypreneur. iv. Use any Content or information obtained through the Programme for creating, operating, marketing or providing any competing mentorship, consultancy, coaching or training programme. v. Solicit, engage or attempt to engage any employee, mentor, trainer, consultant, contractor or representative of Mypreneur for services similar to those offered by Mypreneur during the term of the Programme and for a period of twelve (12) months thereafter. vi. Engage in any conduct that disrupts, interferes with or adversely affects the Programme, Services, LMS or other participants. vii. Make any false, misleading, defamatory or disparaging statement concerning Mypreneur, its affiliates, representatives, employees, mentors, trainers, services or programmes. B. Mypreneur reserves the right to determine, at its sole discretion, whether any conduct constitutes a violation of this Clause. 12. LMS AND DIGITAL PLATFORM ACCESS A. Access to the LMS and any digital platform provided by Mypreneur is granted solely to the Participant and shall not be shared with any third party. B. The Participant shall be responsible for maintaining the confidentiality and security of its login credentials and shall be solely responsible for all activities undertaken through its account. C. Mypreneur reserves the right to suspend, restrict or revoke LMS access at any time in the event of a breach of these Terms, payment default, misuse of Content, unauthorised sharing of access credentials or any conduct which, in Mypreneur's opinion, may adversely affect its business, intellectual property, systems or reputation. D. Upon expiry or termination of the Programme, LMS access may be suspended, restricted or revoked in accordance with the applicable Programme structure. 13. THIRD-PARTY VENDORS AND REFERRALS A. Mypreneur may, from time to time, introduce, recommend or refer the Participant to third-party vendors, suppliers, consultants, service providers, agencies, financial institutions, technology providers or other third parties. B. Any such introduction or referral is provided solely as a convenience to the Participant and shall not be construed as an endorsement, guarantee, warranty or representation regarding the quality, suitability, pricing, performance or reliability of such third parties. C. All dealings, negotiations, transactions, contracts and engagements between the Participant and any third party shall be undertaken solely at the Participant's own risk and responsibility. D. Mypreneur shall not be liable for any act, omission, negligence, misconduct, delay, deficiency, loss, damage, dispute, or claim arising out of or in connection with any third-party engagement. 14. DISCLAIMER A. The Participant acknowledges and agrees that the Services are educational, consultative and advisory in nature and that Mypreneur does not guarantee any specific result, revenue, profitability, business growth, customer acquisition, return on investment, funding, franchise expansion, outlet performance, operational success or other commercial outcome. B. The success of any business venture depends upon numerous factors beyond the control of Mypreneur, including market conditions, competition, location, capital availability, management decisions, operational execution, customer demand, economic conditions and regulatory requirements. C. The Participant acknowledges that all business decisions and implementation activities shall be undertaken at its sole discretion and risk and that Mypreneur shall not be responsible for any losses, liabilities or adverse outcomes resulting therefrom. D. No statement, communication, representation, marketing material, discussion, webinar, presentation or interaction with any representative of Mypreneur shall be construed as a guarantee, warranty or assurance of success unless expressly agreed in writing by an authorised signatory of Mypreneur. 15. LIMITATION OF LIABILITY A. To the maximum extent permitted under applicable law, Mypreneur, its affiliates, directors, officers, employees, consultants, mentors, trainers, representatives and agents shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, loss of revenue, loss of opportunity, loss of goodwill, business interruption, loss of data or anticipated savings, arising out of or relating to the Programme or Services. B. Without prejudice to the foregoing, the aggregate liability of Mypreneur arising out of or in connection with the Programme, Services or these Terms shall not exceed the total fees actually received by Mypreneur from the Participant under the relevant Programme during the twelve (12) months immediately preceding the event giving rise to the claim. C. The limitations set out in this Clause shall apply irrespective of the form of action, whether in contract, tort, negligence, strict liability, statutory claim or otherwise. 16. INDEMNITY A. The Participant shall defend, indemnify and hold harmless Mypreneur, its affiliates, directors, officers, employees, consultants, trainers, mentors, representatives and agents from and against any and all claims, actions, proceedings, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: i. any breach of these Terms by the Participant; ii. misuse of the Services, LMS or Content by the Participant; iii. violation of any applicable law by the Participant; iv. infringement or violation of any rights of a third party by the Participant; v. any business activity, transaction, commercial arrangement or operational decision undertaken by the Participant; or vi. any claim brought by a third party arising from the Participant's acts, omissions, conduct or business operations. B. The obligations under this Clause shall survive the expiry or termination of the Programme. 17. SUSPENSION AND TERMINATION A. Mypreneur reserves the right to suspend, restrict or terminate the Participant's access to the Programme, Services, LMS, sessions, support services, Content and Programme Deliverables, with immediate effect and without liability, upon the occurrence of any of the following events: i. Breach of these Terms. ii. Non-payment or delayed payment of any fees. iii. Unauthorised sharing, disclosure or misuse of Confidential Information. iv. Infringement or misuse of Mypreneur’s Intellectual Property Rights. v. Unauthorised sharing of LMS credentials or Programme access. vi. Abusive, disruptive, defamatory, threatening, fraudulent or unethical conduct. vii. Conduct that may adversely affect the reputation, goodwill, operations or commercial interests of Mypreneur. viii. Any act or omission which, in the reasonable opinion of Mypreneur, renders the continuation of the Participant's enrolment undesirable. B. In the event of suspension or termination under Clause 17.A, the Participant shall not be entitled to any refund, adjustment, credit or compensation of any nature. C. The Participant may discontinue participation in the Programme at any time by providing written notice to Mypreneur. Such discontinuation shall not relieve the Participant from any payment obligations or entitle the Participant to any refund, waiver, adjustment, or release from any amounts payable under these Terms, except where required under applicable law or expressly agreed by Mypreneur in writing. D. Upon termination or expiry of the Programme, all rights granted to the Participant under these Terms shall immediately cease, and the Participant shall discontinue all use of the Content, Confidential Information and Intellectual Property Rights of Mypreneur. 18. FORCE MAJEURE A. Mypreneur shall not be liable for any delay, interruption, suspension or failure in the performance of its obligations arising from any event beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, governmental actions, changes in law, strikes, labour disputes, power failures, internet disruptions, cyber incidents, war, civil unrest or failure of third-party service providers. B. During the continuance of a Force Majeure event, Mypreneur shall be entitled to suspend, postpone, reschedule or modify the affected Services without incurring any liability. C. A Force Majeure event shall not entitle the Participant to any refund, compensation or damages. 19. DISPUTE RESOLUTION AND GOVERNING LAW A. The Parties shall endeavour to resolve any dispute, controversy or claim arising out of or in connection with these Terms through amicable discussions and negotiations. If the dispute is not resolved within thirty (30) days from the date of written notice by either Party, the same shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed by Mypreneur. The seat and venue of arbitration shall be Chennai, Tamil Nadu and the proceedings shall be conducted in the English language. The arbitral award shall be final and binding on the Parties. B. These Terms shall be governed by and construed in accordance with the laws of India. Subject to the foregoing, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction. Nothing contained herein shall restrict Mypreneur from seeking interim, injunctive or equitable relief from any court of competent jurisdiction for protection of its Confidential Information, Intellectual Property Rights or proprietary interests. 20. MODIFICATION OF TERMS A. Mypreneur reserves the right to amend, modify, update or revise these Terms from time to time. B. Any such amendment or modification shall become effective upon publication on Mypreneur's website, LMS, enrolment portal or upon communication to Participants through electronic means. C. Continued participation in the Programme following such amendment shall constitute acceptance of the revised Terms. 21. ELECTRONIC ACCEPTANCE A. The Participant acknowledges and agrees that acceptance of these Terms may be effected electronically, including through online enrolment forms, website acceptance mechanisms, payment confirmations, LMS registration, electronic communications or any other electronic means recognised under applicable law. B. Such electronic acceptance shall constitute valid, binding and enforceable consent and shall have the same legal effect as a physical signature. 22. MISCELLANEOUS A. Nothing contained in these Terms shall be construed as creating any partnership, joint venture, agency, employment, fiduciary, or franchise relationship between Mypreneur and the Participant. B. The Participant shall not assign, transfer or otherwise deal with any of its rights or obligations under these Terms without the prior written consent of Mypreneur. Mypreneur may assign or transfer its rights and obligations without restriction. C. If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. D. No failure or delay by Mypreneur in exercising any right, power or remedy shall operate as a waiver thereof. E. These Terms, together with the applicable Programme detailsand any other documents expressly incorporated herein by reference, constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior discussions, negotiations, representations, understandings, and arrangements. F. The provisions relating to Confidentiality, Intellectual Property, Restrictions on Use, Limitation of Liability, Indemnity, Dispute Resolution, Governing Law, and all other provisions which by their nature are intended to survive, shall survive the expiry, suspension, or termination of the Programme.
